1. Acceptance of Terms

By accessing and using the services provided by Signaldyne (a registered trade name of an Alberta numbered company), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use our services.

2. Services

Signaldyne provides life-cycle extension services for end-of-lfe industrial hardware, including but not limited to:

  • Replacement control board design and manufacturing
  • Peripheral and interface device development
  • Bus converter and protocol translation solutions
  • Firmware development and modification services
  • Part requisition and supply chain management

Specific terms for each service will be outlined in individual project agreements or statements of work.

3. Quotations and Pricing

All quotations are valid for 30 days from the date of issue unless otherwise specified. Prices are subject to change based on material costs, project scope changes, or other factors. Any changes to pricing will be communicated in writing before work proceeds.

4. Payment Terms

Payment terms will be specified in individual project agreements. Standard terms include:

  • Deposit may be required before work commences
  • Progress payments may be required for larger projects
  • Final payment due upon project completion or delivery
  • Late payments may be subject to interest charges

5. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in custom designs, firmware, and documentation created by Signaldyne remain the property of Signaldyne. Clients receive a license to use the delivered products and services for their intended purpose.

6. Warranties

Signaldyne warrants that services will be performed in a professional and workmanlike manner. Specific product warranties will be outlined in individual project agreements. Warranty periods and coverage vary by product and service type.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Signaldyne shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our systems
  • Any interruption or cessation of services
  • Any errors or omissions in any content

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This includes technical specifications, business processes, and other sensitive information.

9. Force Majeure

Signaldyne shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or supply chain disruptions.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

11. Dispute Resolution

Any disputes arising from these terms or services provided shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as agreed by both parties.

12. Modifications to Terms

Signaldyne reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
